Article II Section 2*
ORIGINAL
Section 2 NUMBER, TENURE, AND QUALIFICATIONS. The number of trustees
shall be not less than three (3) and not more than nine (9). All trustees, are volunteers who serve in their capacity as trustees without monetary compensation except as delineated in Section 9 of this Section. Individual trustees accept no financial responsibility and claim no ownership in this non-profit charitable corporation. The corporation shall provide ,officer and Director Insurance as protection from claims of liability that may be filed. Trustee shall be elected by a majority of a quorum of Members entitled to vote. The term of office of Trustees shall be one year from the date of election to the Board. There, is no limit to the number of one-year terms that Trustees may serve provided the Trustee is re-elected by a majority of a quorum of the then sitting and current Members entitled to vote only. Members may serve as Trustees for the Corporation.

Section 3 REGULAR MEETINGS. A regular annual meeting of the Board of
Trustees shall be held on the second Tuesday of February without any other notice than this By-Law a regular meeting of the Board of Trustees shall be held monl[hly on the second Tuesday of each such month without any other notice than this By-Law. The Board of Trustees may provide, by resolution, the time and place for holding additional regular meetings without other notice than such resolution. Additional regular meetings shall be held at the principal office of the corporation in the absence of any designation in the resolution but may be attended by Board members via telephone.
MODIFICATION
REGULAR MEETINGS: every quarter there will be two Executive meetings and one Board of Trustees meeting. Board of Trustees meetings are open to the membership.
The Board of Trustees may provide, by resolution, the time and place for holding additional regular meetings without other notice than such resolution.
The Board of Trustees may hold Executive Meetings for the purpose of candid discussion, counseling, and deliberation. Executive Meetings are closed meetings and may include Trustees, Officers, and Members At Large.
No formal action, vote, or binding decision of the Corporation shall be taken at an Executive Meeting. All official actions of the Corporation shall be taken only at duly noticed meetings of the Board of Trustees and recorded in
the minutes thereof.

Section 4 SPECIAL MEETINGS. Special meetings of the Board of Trustees may
be called by or at the request of the President or any two Trustees, and shall be held at the principal office of the corporation at such other place as the Trustees determine.

Section 5 NOTICE. Notice of any special meeting orlthe Board of Trustee shall
be given at least two [2) days previously thereto by written notice delivered personally present by mail or telegram to each trustee at his address as shown by the records of the corporation. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail in a sealed envelope so addresses, with postage thereon prepaid. If notice is given by telegraph, such notice shall be deemed to loe delivered lvhen the telegram is delivered to thel telegraph company. Any Trustee may waive notice of any meetings for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or concerned. The business to be transacted at the meeting need not be specified in the notice or waiver of notice of such meeting, unless specifically required by Iaw or by these By-Laws

Section 8 VACANCIES. Any vacancy occurring in the Board of Trustees and any
trusteeship to be filled by reason of an increase in the number of Trustees, shall be filled by the Board of Trustees. A Trustee appointed to fill a vacancy shall serve for the unexpired term of his predecessor in office. Each such appointment by the board shall be subject to the approval or dis-approval of the Members at the next regular meeting of the Members.

at least 2I years of age.
b. Junior Member – available to all people of reputable character who are at
under 21 years of age.
c. Honorary Member – bestowed by the Board of Trustees on any person of
reputable character that the Board of Trustees feels through his/her
actions has contributed greatly to the overall well being of the Corporation.

Section 7 QUORUM A majority of the Members entitled to vote shall constitute
a quorum for the transaction of any business at any meeting of the Members; but if less than majority of the Members entitled to vote are present at any meeting, a majority of the Members present may adjourn the meeting from time to time without further notice.

Section 7 QUORUM Notwithstanding any other provision of these By-Laws, no quorum of Members shall be required for the election of Trustees or Members At Large. The Eligible Voting Members present at a duly called election meeting
shall be sufficient to conduct such elections.
This provision applies solely to elections and does not alter quorum requirements for any other Member action expressly required by these By-Laws.

vote present at a meeting at which a quorum is present shall be the act of the Corporation, unless the act of a greater number is required by law or by therse By-Laws.

may also be called Executive Director) one or more vice-presidents (who may also be

Article IV VOTING METHODS AND ABSENTEE VOTING

Section 1. Eligible Voting Member
Only Eligible Voting Members are entitled to vote in elections of Trustees and Members At Large. An Eligible Voting Member is a Member who meets participation or service requirements established by the Board of Trustees in a Board-adopted Voting and Election Policy.
Section 2. Voting Method; Absentee Voting
Eligible Voting Members may vote in person or by absentee ballot. Absentee voting requires advance notice in accordance with procedures established by the Board of Trustees. No additional eligibility requirements apply to absentee
voting beyond those required to qualify as an Eligible Voting Member.
Proxy voting is not permitted
Section 3. SUPS Election & Voting Policy
This policy governs the conduct of Trustee and Member at Large elections and may be updated by Board resolution.
A. Positions Subject to Election
– Trustees (up to the number authorized in the bylaws)
– Members at Large (up to three advisory positions)
Candidacy for Trustee and Member at Large positions is mutually exclusive.
B. Eligibility to Vote
– All members with a current membership who meet Section 1 (1,2 or 3) may vote in person.
– Absentee voting is permitted only as provided in this policy.
– Proxy voting is not permitted.
C. Ballot Structure
Two separate ballots shall be used:
Ballot A – Trustees
Prompt: “Of the following candidates, select up to 9 candidates for Trustee positions.”
Ballot B – Members at Large
Prompt: “Of the following candidates, select up to 3 candidates for Member at Large positions.”
D. Voting Method
– Voting shall be conducted in person by written ballot unless otherwise approved by the Board.
– Members may vote on both ballots.
– Candidates retain their right to vote as members.
E. Vote Counting and Results
– Votes shall be counted by individuals designated by the Board.
– Candidates receiving the highest number of votes shall be elected to available seats.
– Results shall be recorded in the meeting minutes.
F. Tie Resolution
If a tie occurs among two or more candidates for one or more remaining Trustee or Member at Large positions:
1. The tie shall be resolved by a majority vote of the sitting Board of Trustees.
2. Any Trustee who is a candidate in the tied position must recuse themselves from the tie-breaking vote.
3. The decision shall be recorded in the meeting minutes.
G. Absentee Voting Procedure
1. Absentee voting is permitted only for Eligible Voting Members unable to attend due to extenuating circumstances.
2. Absentee voting must be requested in advance by the deadline established by the Board.
3. Requests shall be reviewed and approved by the Board or a designated officer.
4. Approved absentee ballots must be submitted in the form and manner prescribed by the Board and received prior to the meeting.
5. Absentee ballots shall be counted together with in-person ballots.
H. Authority and Interpretation
The Board of Trustees retains authority to interpret and apply this policy in good faith to address unforeseen circumstances consistent with fair and orderly elections.
